Terms And Conditions (AGB) - germanspurce.com

(1) These Terms and Conditions (T&Cs / AGB) govern all business relations, offers, sales, and deliveries between Rudolf Fuchs Tonewood, Hörlstr. 15, 94099 Ruhstorf, Germany (hereinafter referred to as "Seller") and its international customers via the website germanspruce.com or individual communication. By placing an order, checking out, or accepting an individual quotation, the customer acknowledges and agrees to be bound by these Terms and Conditions.

(1) Non-Binding Offers: All product presentations on the website are non-binding invitations for inquiries.

(2) Validity of Offer: Individual offers or Proforma Invoices issued by the Seller are non-binding and valid for 14 days from the date of issue. Errors, misprints, and short-term price changes are excepted.

(3) Contract Conclusion: A contract is concluded only when the customer explicitly accepts the individual offer/Proforma Invoice in writing (via email) and the Seller confirms the order.

(1) Handmade & Natural Variance: Every single guitar top/soundboard is individually graded and processed by hand. Guitar top sets are supplied as shown in the specified customized sample file (e.g., "samples[Customers Name].pdf").

(2) Processing: All tops are planed on the face/front side and rough-sawn on the back.

(3) Dimensions: Because wood is a natural material, dimensions may vary slightly from piece to piece. For exact measurements and visual properties, the customer must refer to the corresponding photographs provided in the respective sample PDF file.

(4) Wood is a natural product: Differences in color, grain, structure, and density, as well as minor natural characteristics (such as slight bear claw markings or minor growth variations), are inherent to the material and unique to each piece. Such natural characteristics do not constitute a defect, provided they do not impair the structural integrity and musical usability of the tonewood for guitar building.

(1) Currency: All prices, offers, invoices, and payments are strictly processed in Euro (EUR / €). All prices are net prices.

(2) Tax-Exempt Export Note: Deliveries to countries outside the European Union or to businesses with a valid VAT ID qualify as tax-free export deliveries according to § 4 No. 1a UStG (German Turnover Tax Act). No German Value Added Tax (VAT) will be charged.

The Seller operates strictly on a 100% advance payment basis. Delivery processes will only proceed after full payment confirmation. The buyer can choose between two payment methods:

(1) PayPal: 100% advance payment in EUR. Payments must be sent directly to the official PayPal account: info@germanspruce.com. Delivery proceeds immediately after PayPal payment confirmation.

(2) Wire/ Bank Transfer: 100% advance payment in EUR. The buyer must instruct their bank to execute the transfer with the fee option 'SHARE' (SWIFT: SHARE). All intermediary or beneficiary bank fees are the responsibility of the buyer. In other words, bank charges are to be shared; each party bears its own bank fees. Delivery proceeds upon final receipt of the full transfer amount.

Depending on what is explicitly agreed upon in the individual offer or Proforma Invoice, shipping and delivery will be handled under one of the following Incoterms® 2020:

(1) Standard Option: DAP (Delivered at Place)

(1a) Carriers & Scope: Shipping is organized by the Seller and executed depending on the destination and customer agreement via:

DHL Express (international) for fast global shipping.

DHL Standard (international / Europe-wide) for regular international and European shipments.

DHL National for standard shipping within Germany.

(1b) Seller's Responsibility: The Seller bears all transportation costs to the named place of destination.

(1c) Buyer's Responsibility: The buyer is solely responsible for all import customs clearance, import duties, taxes, and any local administrative fees incurred in the country of destination (applicable for shipments outside the European Union / EU).

(2) Alternative Option: EXW (Ex Works - Ab Werk)

(2a) Applicability: Only applicable if explicitly stated in the individual quotation or Proforma Invoice.

(2b) Execution: The Seller provides the goods ready for collection at the business premises in Ruhstorf, Germany.

(2c) Buyer's Responsibility: The buyer organizes the collection and transport at their own expense and risk. The buyer bears all transport costs, insurance, and all export and import customs formalities from the moment the goods leave the Seller's premises.

(1) Wood Species Declaration: The wood products consist exclusively of European Spruce (Botanical name: Picea abies / Picea excelsa).

(2) CITES Status: This species is strictly not listed under CITES (Convention on International Trade in Endangered Species of Wild Fauna and Flora). It does not require any CITES export or import permits.

(3) Origin Declaration (EU-South Korea FTA & Global): The exporter of the products covered by these terms (EORI No: DE6772552) declares that, except where otherwise clearly indicated, these products are of Germany (EU) preferential origin.

(4) Accuracy Certification: The Seller certifies that all issued invoices are true and correct.

All delivered goods remain the sole and absolute property of the Seller until full payment of the entire invoice amount (including any agreed shipping charges) has been successfully cleared and received.

(1) Applicable Law: This contract and all commercial relationships between the parties shall be governed exclusively by the laws of the Republic of Germany. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is explicitly excluded.

(2) Place of Jurisdiction: The exclusive place of jurisdiction for all disputes arising from or in connection with deliveries from germanspruce.com is the registered business location of the Seller in Germany.
